Member Agreement  

 

What is this?  

This is the Covation Center’s member agreement between its members and the Center and serves as a legally binding document for both parties. Last revised: Nov. 16, 2022.

The Member Agreement  

Covation Center, Inc. (“The Center”), at 217 West Fourth St., Williamsport, offers a coworking space to its members, which includes open and private workspaces, complimentary snacks and coffee, high-speed internet, printing services and business coaching opportunities. By joining The Center, our members  agree to abide by The Center’s code of conduct as well as the requirements listed in this document.

1. CONDUCT 

Behave well and treat others the way you would want to be treated. Keep in mind that people  who are annoyed or offended may not tell you so directly, but instead engage less with The  Center, which hurts everybody. 

Upon notice from other members, and/or at the Center staff’s discretion, disruptive or abusive  language or behavior will result in a warning and a mark against your membership (a “strike”).  On the third strike, your membership will be revoked. Your membership may be revoked prior to  the third strike upon the sole discretion of the Center director. 

These are the general rules we ask you to abide by:  

  1. Indoor voice​. We are all trying to get work done, so try to be mindful and respectful of others’ attention and time. Generally, if someone has their headphones on, please respect their privacy. The Center is not a library, and collaboration is encouraged, but this is a workplace, first and foremost. 
  2. Phone calls.​ If you have a phone call and it will last just a few minutes, feel free to take it in the common areas. In doing so, please be aware that there are other members of our community here, and that long and/or loud conversations may be disruptive to their work. 
  3. Harassment.​ We have zero tolerance for harassing our members or guests of The Center. Members or guests violating this will be sanctioned or expelled from the space or the event at the discretion of the managers/director.
  4. Guests.​ If your guest is going to be here for more than an hour we ask that they pay for a daily pass. Guests are required to adhere to the Rules of The Center.
  1. Desk use.​ Every desk at Covation Center is for the community. Unless you have a dedicated desk membership, do not leave property on the desks or around the desks when you will not be working there that day. Take home what you bring in. Storage lockers are available to be reserved by members. 
  2. Refrigerator.​ The refrigerator is available to members. Please clean out any items you own on a daily or weekly basis. 
  3. Alcohol policy.​ Members 21 years of age or older may bring their own alcoholic beverages into the Center. Any level of intoxication will not be tolerated and you will be asked to leave the premises at the discretion of the Center staff. 
  4. Heat & air conditioning.​ Do not raise or lower the temperature more than three degrees. Questions about the heat or air conditioning should be directed to a Center staff member. 
  5. Locks.​ The Center uses automatically locking doors, which require a pin or key fob to access outside of normal business hours (Weekdays from 9 a.m. to 5 p.m.) At no time should the doors be propped open, nor should nonmembers be allowed in the space outside of normal business hours. 
  6. Recycling. Members should use the recycling containers next to the bar and refrigerator whenever possible.

2. FEES & COSTS

Membership Fees: 

  • Cleaning fee for consistent messes left in the coworking space: $10
  • Replaced key fob fee: $5

Membership Costs

Free Trial Pass - FREE - Access to full resources of the Covation Center for one day. This includes access to the full workspace and resources, high speed internet, private sound-dampening phone booths, printing facilities, as well as coffee and snack bar.

Daily Member - $17 per day - Access to full resources of the Covation Center for one day. This includes access to the full workspace and reservable resources, high speed internet, private sound-dampening phone booths, printing facilities, as well as coffee and snack bar. 

  • Open Space: $17/day
  • Punch Pass: $12/Day (Must purchase minimum of 5)
  • Private office: $30/Day
  • Private Office Punch Pass: $24/day (Must purchase minimum of 5)

Monthly Members - Starting at $175 per month. Access to full resources of the Covation Center. This includes access to the full workspace and reservable resources, high speed internet, private sound-dampening phone booths, printing facilities, as well as coffee and snack bar. Also includes one hour of business coaching each month (by appointment) with any of our expert coaches. 

  • Open Space – $175/Month
  • Dedicated Desk – $275/Month
  • Private Office – $350/Month (there is currently a waiting list for private office spaces)

Student Membership - $100 per month - For students age 18 and older. Access to full resources of the Covation Center. This includes access to the full workspace and reservable resources, high speed internet, private sound-dampening phone booths, printing facilities, as well as coffee and snack bar. 

  • Monthly: $110/Month
  • Daily: $11/Day

Household Membership - $200 per month - A monthly membership for two adults within the same household for a single price. A third household member can be added for $100/mo.  Access to full resources of the Covation Center. This includes access to the full workspace and reservable resources, high speed internet, private sound-dampening phone booths, printing facilities, as well as coffee and snack bar.  Household members can come to the Covation Center, one at a time, to better serve their families and their work schedules! 

Access to Covation Center Space and Resources

Reservable Resources:

Space Resources - Note that space resources may be reserved by members OR used on a first-come first-served basis by members (when not otherwise reserved or in use). Monthly members may use their 60 minutes of free time (renews monthly) to reserve these resources. 

 

Private phone booths

  • $2.50 per hour
  • minimum of 1 hour/maximum 10 hours

Conference room

  • $10.00 per hour
  • minimum of 1 hour/maximum 10 hours
  • The conference room can accommodate up to 14 individuals during regular business hours (9am-5pm) or up to 20 from 5pm-9pm; this includes use of the LED display and chromecast, with the ability to connect with AppleTV and Video Meeting OWL. 

TV & Meeting Space

  • $10.00 per hour
  • minimum of 1 hour/maximum 8 hours 

 

    • The meeting space can accommodate up to 12 individuals during regular business hours (9am-5pm) or up to 20 from 5pm-9pm; this includes use of the LED display and chromecast, with the ability to connect with AppleTV.

Electronic Resources: These resources are available through paid reservation only; monthly members may use their 60 minutes of free time (renews monthly) to reserve these resources. 

 

Chromebooks (4 available)

  • $1.00 per hour
  • minimum 1 hour/ maximum 8 hours

High-Speed Internet Access

  • $5.00 per hour
  • minimum 30 minutes/maximum 8 hours

 

      • Provide up to three clients internet access as they meet with members. This is a low-cost way for the clients to accomplish work as well without the need to pay for a daily membership. The minimum time reservable is 30 minutes, or $2.50.

 

Video Meeting OWL

  • $5 per hour
  • minimum 1 hour/maximum 4 hours

 

      • Use of our 360 degree Meeting Owl to bring in your business partners for virtual meetings. Rental of the owl is $5/hour or $20 for an entire evening (4 hours).

 

Projector

  • $2.50 per hour
  • minimum 1 hour/maximum 10 hours

 

 

    • Need to share your screen with a group of people during your meeting? Just reserve the projector and start sharing your hard work with your clients and your team.
  • External Monitor
    • $1.00 per hour
    • minimum 1 hour/maximum 8 hours

Access to the Center and Payment Policy

Only registered members and guests of registered members may access the center and center resources; all guests must be accompanied by a registered member.

Only one Free Trial Pass will be issued to an individual. After that, a member will need to select and pay for a membership to continue accessing center resources. 

Membership payments (other than the one-time Free Trial Pass) are due upon registration. Your renewal billing will occur one month to date after the first day of paid membership. Note that payments are not refundable under any circumstance. Any member who wishes to cancel membership may do so prior to the next billing cycle.  Membership cancellation will take effect at the end of the paid month.

All memberships must be paid through Proximity with a credit or debit card. Proximity is the app which handles member registration, membership renewal, resource reservations, door access, and payments. Please note that non-electronic payments such as cash and checks will not be accepted since all fees must be processed through Proximity.

Late Payment Policy: A member will be notified via e-mail in the event Proximity is unable to successfully charge the payment source. After a payment failure, Proximity will automatically attempt to process payment for three consecutive days. After three unsuccessful attempts to process payment, the membership will be automatically reverted to Community Member status, at $0. The membership will be considered PAUSED and the member will have no access to center resources - to include Key Fob/Proximity App/PIN door access - until electronic payment information is updated OR alternate payment arrangements are made.  

If any credit/debit card charge is not honored for whatever reason within 7 days of the payment due date the member must pay 10% of the unpaid balance as a late fee, in addition to the regular membership fee, in order to reinstate membership.

Covation Center, Inc reserves the right to issue an extended pause on member accounts which are 15 days late OR experience three (3) late/failed payments in any 12 month period. During an extended pause, an individual’s membership will revert to community member for no less than 12 months. Note that if a monthly member with a private office or dedicated desk is placed on extended pause, the member will lose their reserved space and the next member on the waiting list for that space will be notified. after which the individual may choose to reinstate monthly membership after making a 2 month deposit.  

3. TERMINATION 

Violation of the Center’s code of conduct, or use of the Center for anything that is unlawful or damaging to property or other members, may result in the immediate termination of your membership. 

4. CONNECTIONS 

You also agree not to use The Center in connection with: a. Contests, pyramid schemes, chain letters, junk email, spamming or similar annoying behavior; b. Defaming, abusing, harassing, threatening or otherwise violating the legal rights (such as privacy and publicity) of others; c. Posting, distributing or disseminating inappropriate, profane, defamatory, obscene, indecent, or unlawful material or information; d. Uploading, reproducing, using, performing or otherwise making available, images, software or other material or information which infringes another’s rights, or is protected by intellectual property laws where you don’t own or license such rights; and e. Uploading or using files that contain viruses, corrupted files, or any other similar software or programs that may damage the computers or property of The Center or another member. 

5. CONFIDENCES 

You acknowledge that during your membership in The Center, you are going to be exposed to, or overhear, The Center Confidences. “The Center Confidences” means information (such as business information, trade secrets, technology, customers and prospects) disclosed by The Center or by other members of The Center. You agree to keep confidential and not to disclose or use The Center Confidences, you understand that they remain the exclusive property of whomever disclosed them, and you don’t acquire any rights to such information. 

6. COMPLAINTS

Please don’t make defamatory or disparaging comments about The Center or other members. If you have a concern or complaint, let us know about it and the staff will address it.

7. LIABILITY 

The Center is not liable for damages or injuries to clients, guests, or other parties that members may invite to the The Center space. We also will not be responsible for lost or stolen property from the Center’s space. 

8. DISCLAIMER 

The Center PROVIDES The Center SERVICES “AS IS” AS A SERVICE AND NOT AS A LEASE OF REAL PROPERTY, AND DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR USE, TO THE EXTENT PERMITTED BY LAW. THERE IS ALSO NO WARRANTY OF TITLE, QUIET ENJOYMENT OR POSSESSION. THE ENTIRE RISK OF PARTICIPATING IN OR USING The Center SERVICES, REMAINS WITH YOU.   

IN NO EVENT SHALL The Center OR ITS AGENTS, OWNERS, MEMBERS, OR EMPLOYEES BE LIABLE FOR ANY DIRECT, SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, CONSEQUENTIAL OR OTHER DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOST PROFITS, LOSS OF CONFIDENTIAL OR OTHER INFORMATION, BUSINESS INTERRUPTION, PERSONAL INJURY, LOSS OF PRIVACY, FAILURE TO MEET ANY DUTY (INCLUDING OF GOOD FAITH OR OF REASONABLE CARE), NEGLIGENCE, AND ANY OTHER LOSS) ARISING OUT OF OR IN ANY WAY RELATED TO The Center SERVICES OR OTHERWISE, TO THE EXTENT PERMITTED BY LAW. 

9. INDEMNIFICATION 

You also release, and agree to indemnify, defend and save harmless The Center, its agents, owners, members and employees, from, and against, all claims, liabilities, losses, damages, expenses, judgments, fines and penalties based on or arising out of your negligent actions, errors and omissions, willful misconduct or fraud, breach or violation of the rules or otherwise suffered in connection with your participation in The Center or use of The Center Services. 

10. CONSENT 

You cannot assign this Agreement without the prior written consent of The Center. Since The Center is situated in the City of Williamsport, we all agree that the law of the great State of Pennsylvania governs this Agreement. And we further agree that exclusive jurisdiction and venue for all purposes under this Agreement shall be in Williamsport, Pennsylvania, and everyone consents to such jurisdiction and venue. Finally, in the event that any provision or portion of this Agreement is determined to be invalid, illegal or unenforceable for any reason, in whole or in part, the remaining provisions of this Agreement shall be unaffected and shall remain in full force and effect to the fullest extent permitted by law. 

I acknowledge that I have read this Agreement and the Rules of The Center. Further, I agree to be bound by this Agreement and the Rules of The Center regarding my participation in The Center and the use of The Center Services.
